Agreement to Terms

By accessing or using Magnitude's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

Magnitude Inc. ("Magnitude," "we," "us," or "our") provides a financial services platform. Magnitude is a financial technology company, not a bank. Banking services will be provided by one or more sponsor banks, each Member FDIC. Funds held at sponsor banks are eligible for FDIC insurance up to $250,000 per depositor, per institution, subject to applicable limits.

Eligibility

To use Magnitude, you must:

• Be at least 18 years old
• Be a U.S. resident
• Provide accurate and complete information during registration
• Comply with all applicable laws and regulations

Account Registration

To access our financial services, you must create an account. You agree to:

• Provide truthful, accurate, and complete information
• Maintain and update your information as necessary
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

Financial Services

Magnitude partners with one or more sponsor banks to provide banking services, including:

• Deposit accounts at sponsor banks, eligible for FDIC insurance subject to applicable limits
• Debit card services
• Electronic fund transfers
• Account management tools

Your use of banking services is subject to our sponsor banks' terms and conditions.

Prohibited Uses

You may not use Magnitude's services to:

• Engage in illegal activities or violate any laws
• Commit fraud or money laundering
• Harass, threaten, or harm others
• Interfere with or disrupt our services
• Attempt to gain unauthorized access to our systems
• Use our services for any business or commercial purpose without our written consent

Fees, Charges and Refunds

We may charge fees for certain services. All applicable fees will be disclosed to you before you incur them. You authorize us to deduct fees from your account balance.

Pre-orders. A pre-order is a single payment made before Magnitude launches. You may cancel your pre-order and receive a full refund at any time before launch, for any reason, by contacting us at legal@magnitude.money. After launch, pre-order payments are non-refundable; the membership purchased does not expire and is not billed again.

Annual subscription. The annual plan is billed yearly in advance. You may cancel at any time. Your access continues until the end of the period you have already paid for, and the subscription does not renew. Cancellation does not entitle you to a refund of the current period.

Moving between plans. If you activate banking while on an annual subscription, no further payment is due for the membership, and the subscription does not renew.

Intellectual Property

All content, features, and functionality of Magnitude's services, including but not limited to text, graphics, logos, and software, are owned by Magnitude Inc. or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.

Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGNITUDE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Indemnification

You agree to indemnify, defend, and hold harmless Magnitude Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of our services or violation of these Terms.

Termination

We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activity.

You may close your account at any time by contacting us. Upon termination, you must cease all use of our services.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the updated Terms.
